Terms of Service

These Terms of Service ("Terms") are a legal agreement between you and Collably, Inc. ("Collably," "we," "us," or "our") governing your access to and use of collably.app and the services we provide through it (the "Service"). By creating an account or otherwise using the Service, you agree to these Terms. If you don't agree, don't use the Service.
1. Eligibility
You must be at least 18 years old and able to form a binding contract to use Collably. By using the Service, you represent that you meet these requirements and that everything you tell us about yourself — your identity, your company, your social accounts — is accurate. Accounts are for real individuals and real companies; no impersonation, and no accounts created on behalf of someone else without their authorization.
2. What Collably Is
Collably is a marketplace that connects brands running creator marketing campaigns ("Brands") with creators who produce content for those campaigns ("Creators"). We provide the platform, campaign tooling, and review workflow that Brands and Creators use to find each other, agree on a campaign's terms, and track its progress. Collably facilitates this connection — we are not a party to the underlying agreement between a specific Brand and Creator beyond what these Terms and a campaign's own stated terms cover. Disputes about deliverables, quality, or compensation between a Brand and a Creator are between them; Collably's role is limited to the platform functionality described here.
3. Your Account
You sign in with Google — Collably never asks for or stores a password. On first login you choose a permanent username and a role (Brand or Creator); you can switch roles later, but a username is permanent once set. You're responsible for everything that happens under your account and for keeping your Google account secure, since that's how access to Collably is controlled. One account per person or company. We can suspend or terminate an account that violates these Terms — see Section 10.
4. Campaigns
A Brand creates a campaign stating its own deliverables, compensation model, budget, timeline, and eligibility requirements. That campaign's stated terms — not this document — govern what a Creator is owed for participating in it. By publishing a campaign, a Brand represents that they can and will honor its stated terms. By applying to, joining, or submitting content to a campaign, a Creator represents that the content they submit is their own original work (or that they hold the rights necessary to submit and license it) and that they will follow the campaign's stated brief and requirements in good faith.
Brands review submissions and decide whether to approve, reject, or request changes. A Brand rejecting a submission must provide a reason, shown to the Creator. Neither a rejection nor an approval on Collably constitutes a determination of any legal right either party may separately have.
5. Payments
Collably does not currently process payments. Where a campaign states a guaranteed payment amount, Collably tracks what's owed and lets a Brand mark it as paid once they've sent it themselves, outside the platform — this is a record-keeping tool, not a payment processor, escrow service, or payment guarantee. Collably is not a party to, and assumes no responsibility for, the actual transfer of funds between a Brand and a Creator today. If and when Collably integrates a payment processor to move funds directly, this section will be updated to reflect that, including any additional terms that apply to it (fees, timing, chargebacks, and payout eligibility).
6. Content and License
Creators retain ownership of the content they create. By submitting content to a campaign, a Creator grants the Brand and Collably a license to review, display, and evaluate that content for the purposes the campaign describes and for operating the Service (e.g., showing approved work as a showcase to other participants). This license doesn't transfer ownership and doesn't extend beyond what a specific campaign or these Terms describe — any broader usage rights (e.g., a Brand repurposing content in its own advertising) are a separate matter between the Brand and Creator, not granted automatically by using Collably.
You're responsible for anything you post, submit, or otherwise make available through the Service, and you agree not to post anything that infringes someone else's rights, is unlawful, or that you don't have the right to share.
7. Prohibited Conduct
You agree not to, and not to help anyone else:
- Fake, purchase, or otherwise misrepresent engagement, views, or results
- Misrepresent your identity, affiliations, or the ownership of a social account
- Use the Service for anything unlawful, fraudulent, or deceptive
- Interfere with or attempt to disrupt the Service, including scraping it at scale, reverse-engineering it, or bypassing access controls
- Harass, threaten, or abuse another user
- Circumvent a campaign's stated terms or Collably's review process in bad faith
8. Verification and Public Profiles
Collably may verify a Creator's ownership of a linked social account and may display an account or company as "verified" on that basis. Verification reflects account ownership at the time it was checked — it is not an endorsement of a user's conduct, content quality, or reliability. Unless you set your profile to private, your public profile information (display name, avatar, niches, verified social links, campaign history where applicable) is visible to anyone at your Collably profile link.
9. Connecting Third-Party Accounts (e.g. TikTok)
Creators may connect a TikTok account via TikTok's own sign-in flow to verify ownership and let a Brand see real performance data (follower count and stats on content submitted to a campaign) instead of self-reported numbers. Connecting is optional and requires your explicit authorization through TikTok's consent screen — Collably only requests the specific data described in our Privacy Policy. You can disconnect at any time from Settings; doing so revokes Collably's access with TikTok and deletes your stored connection info (tokens, follower count, verification status). TikTok data already synced to a past submission stays as part of that campaign's record and isn't deleted, though it stops updating once you disconnect. Your follower count is only shown on your public profile if you separately opt in to that after connecting — connecting alone doesn't make it public.
10. Suspension and Termination
We may suspend or terminate your access to the Service, with or without notice, for violating these Terms, for fraudulent or abusive behavior, or where we reasonably believe it's necessary to protect Collably, other users, or the public. You may stop using the Service and request account deletion at any time by contacting us at the email below. Sections of these Terms that by their nature should survive termination (ownership, disclaimers, limitation of liability, dispute resolution) will continue to apply.
11. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. Collably is an early-stage product; features may change, and the Service may be interrupted, delayed, or contain errors. We don't guarantee that a Brand will pay a Creator, that a Creator will deliver acceptable content, or that any particular campaign outcome will occur — those are matters between the Brand and Creator, not guaranteed or insured by Collably.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, COLLABLY AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE OR ANY DISPUTE BETWEEN A BRAND AND A CREATOR — EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. COLLABLY'S TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID COLLABLY, IF ANY, IN THE 12 MONTHS BEFORE THE CLAIM AROSE, OR (B) ONE HUNDRED U.S. DOLLARS ($100). Some jurisdictions don't allow these limitations, so some of the above may not apply to you.
13. Indemnification
You agree to defend, indemnify, and hold Collably harmless from any claim, damage, or expense (including reasonable attorneys' fees) arising from your use of the Service, your content, your violation of these Terms, or your violation of any third party's rights.
14. Governing Law and Disputes
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. Any dispute arising from these Terms or the Service that isn't resolved informally will be brought exclusively in the state or federal courts located in Delaware, and you consent to that jurisdiction and venue.
15. Changes to These Terms
We may update these Terms from time to time — as the product changes, as new features (like real payment processing) go live, or as needed for legal or operational reasons. If we make a material change, we'll update the "Last updated" date above and, where appropriate, provide additional notice. Continuing to use the Service after a change takes effect means you accept the updated Terms; if you don't agree with a change, stop using the Service.
16. General
If any provision of these Terms is found unenforceable, the rest remain in full effect. Our failure to enforce a provision isn't a waiver of it. These Terms, together with our Privacy Policy, are the entire agreement between you and Collably regarding the Service. You may not assign your rights under these Terms without our consent; we may assign ours in connection with a merger, acquisition, or sale of assets.
